These Terms of Service ("Terms") govern your access to and use of gedit.ai, our applications, and all related services, features, software, and websites operated by Gedit AI INC ("Gedit," "Company," "we," "us," or "our") (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" includes that organization.
You must be at least 13 years old (or the minimum age required in your country to consent to use online services). If you are under 18, you must have permission from a parent or legal guardian to use the Services.
2.1 Account information. You must provide accurate and complete information when registering and keep it up to date.
2.2 Credentials. You may not share your credentials or allow others to access your account. You are responsible for all activity that occurs under your account.
2.3 Unauthorized access. You must promptly notify us at info@gedit.ai if you suspect unauthorized access to your account.
3.1 Permitted use. Subject to your compliance with these Terms, you may access and use the Services for lawful purposes.

4.1 Definitions.
4.2 Your responsibility. You are solely responsible for your Content, including ensuring it is lawful and that you have all rights, permissions, and licenses needed to submit Input and use any Output.
4.3 Outputs may be similar or not unique. Due to the nature of AI systems, Outputs may not be unique and other users may receive similar results. This does not mean your Content was shared with others.
4.4 Accuracy and professional reliance. AI systems are probabilistic and may produce incomplete, incorrect, or unexpected Outputs. You agree that:
4.5 No endorsement. References to third-party products or services in Outputs do not imply endorsement or affiliation.
5.1 Your ownership. As between you and Gedit, you retain ownership of your Input.
5.2 License to Gedit to operate the Services. By submitting Input, you grant Gedit AI INC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, reproduce, modify, adapt, and use your Input and related metadata as necessary to:
5.3 Outputs. To the extent permitted by applicable law, you may use Outputs generated for you. Gedit does not guarantee Outputs are free of third-party rights. You are responsible for ensuring your use does not infringe rights.
5.4 Feedback. If you provide feedback, suggestions, or ideas, you grant Gedit a perpetual, irrevocable, worldwide, royalty-free right to use them without compensation or restriction.
6.1 Default training permission. Unless you opt out, you authorize Gedit to use Content and usage signals to train and improve Gedit's internal models, features, and workflows, including creating aggregated or de-identified learnings.
6.2 Opt-out. You may opt out of training by following instructions in your account settings (if available) or emailing info@gedit.ai. Opt-out applies prospectively and does not require us to reverse training already performed where not feasible or not required by law.
6.3 Deletion. You may request deletion as described in the Privacy Policy.
7.1 Third-party models as tools. Gedit may use commercially available AI systems, including language models, to build and operate features of the Services. We do not have special, exclusive, or custom agreements with those model providers. We use them under standard publicly available service terms offered to customers generally.
7.2 Processing. To deliver certain features, limited parts of Input, prompts, context, metadata, or intermediate results may be processed by third-party AI services. Your use of the Services authorizes this processing as described in the Privacy Policy.
7.3 No ownership transfer. Gedit does not sell your Personal Data. Third-party model providers do not receive ownership of your Content from Gedit through your use of the Services.
The Services may include or depend on third-party software, tools, integrations, or services ("Third-Party Services"). Third-Party Services are governed by their own terms and policies. Gedit is not responsible for Third-Party Services.
If you register using an email address owned or controlled by an organization (for example, your employer), your account may be administered or transferred to that organization's account environment where applicable. If this occurs, the organization's administrator may be able to access and control your account and Content, subject to applicable law.
10.1 Billing. If you purchase a subscription, you authorize us and our payment processors to charge your payment method on a recurring basis until you cancel.
10.2 Non-refundable by default. Payments are non-refundable by default, to the maximum extent permitted by law.
10.3 Exceptional refunds. In specific scenarios, Gedit AI INC may issue a full or partial refund at its sole discretion. To request a refund review, contact info@gedit.ai. Submitting a request does not guarantee a refund.
10.4 Taxes. You are responsible for applicable taxes unless otherwise stated.
10.5 Price changes. We may change prices or plan features. Where required by law, we will provide notice before changes take effect.
11.1 By you. You may stop using the Services at any time.
11.2 By us. We may suspend or terminate your account or access if we reasonably determine that:
11.3 Inactivity. We may terminate unpaid accounts after an extended period of inactivity, where permitted by law and with reasonable notice when feasible.
We may modify, update, or discontinue the Services at any time. If we discontinue paid Services, we may provide reasonable notice and, where applicable and required by law, a prorated refund for prepaid unused periods.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." GEDIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
YOU ACKNOWLEDGE THAT:
We implement reasonable safeguards to protect the Services and data, but no system can be guaranteed 100 percent secure. You acknowledge that breaches, hacking, malware, social engineering, impersonation, or other malicious activity may occur despite our efforts.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Some jurisdictions do not allow certain limitations, so these limits may not apply to you in full.
If you are using the Services for business purposes or on behalf of an organization, you agree to indemnify and hold harmless Gedit AI INC and its directors, officers, employees, and contractors from third-party claims arising out of your Content, your use of the Services, or your violation of these Terms or law.
You must comply with applicable export controls and sanctions laws. You may not use the Services if prohibited under applicable trade laws, including if you are located in a sanctioned jurisdiction or are a restricted party.
18.1 Informal resolution first. Before filing a claim, you agree to contact us at info@gedit.ai and attempt to resolve disputes informally.
18.2 Governing law. These Terms are governed by the laws of Ontario, Canada, excluding conflict-of-law rules.
18.3 Courts. Except where consumer protection laws require otherwise, you agree that disputes will be brought in the courts located in Ontario, Canada.
Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or successor.
Severability. If a term is unenforceable, the remainder remains effective.
No waiver. Failure to enforce a term is not a waiver.
Entire agreement. These Terms and referenced policies form the entire agreement regarding the Services.
